0. The Philippine legal framework these sit in
RonOS is operated from the Philippines, for Philippine businesses. These are the laws and rules that surround this agreement.
| Law or rule | Why it matters here |
|---|---|
| Republic Act No. 10173 — the Data Privacy Act, its Implementing Rules and Regulations, and NPC circulars | The core of the Privacy Policy. Governs personal information, the rights of the people it belongs to, security, breach notification, and possibly registration and the appointment of a Data Protection Officer. |
| Republic Act No. 8792 — the E-Commerce Act (2000) | Gives legal effect to electronic documents and signatures. This is what makes a tick-box acceptance binding, and electronic records admissible. |
| Republic Act No. 11967 — the Internet Transactions Act (2023) | Regulates online businesses serving Philippine consumers. |
| The Civil Code of the Philippines | Contract formation, obligations, breach, and what a supplier may exclude. |
| The National Internal Revenue Code and BIR regulations | Not binding on RonOS directly, but decisive for how long a customer's books must be preserved. |
| The Labor Code and DOLE rules | Bind the customer as an employer. |
1. Who these terms are between
These terms are between RonOS and the business using it.
The person accepting them confirms they have authority to do so on the business's behalf.
To be completedThe operating entity's registered name and address must be filled in here, and they must be correct.
2. What RonOS is
RonOS brings a business's operations into one place. Its modules cover expenses, cash flow, accounting, inventory, recipe and menu costing, point-of-sale sales, purchasing, reservations, tasks, HR and payroll, and reporting.
Plainly: RonOS is a tool. It is not an accountant, a bookkeeper, a lawyer or a payroll bureau. It gives no professional advice. The figures it produces — including payroll figures, tax-related figures and accounting figures — are produced from what the business enters. The business is responsible for checking them, and for its own legal and tax obligations.
3. Accounts and security
- The business is responsible for its accounts, and for who it grants access to.
- Passwords must not be shared. Each person uses their own login.
- Tell us promptly if an account is compromised.
- We may suspend an account we reasonably believe is compromised or is being used harmfully. Where we can, we will say so first.
4. Employee and customer data
The business decides what to put into RonOS about its employees and its own customers, and why. RonOS processes that information on the business's instruction.
By using RonOS, the business:
- instructs us to process that information for the purpose of providing the service;
- confirms it has the right to provide the information, and that it has told the people concerned as its own obligations require; and
- accepts that it answers to its employees and its customers for what it collects.
For our part, we will:
- process the information only to provide the service, and as instructed;
- keep it secure as described in the Privacy Policy;
- not sell it, and not use it for advertising; and
- use only the providers listed in the Privacy Policy.
A business may export its data at any time, and may ask us to delete it.
Note for reviewThis section is the practical heart of the agreement. A separate data processing agreement may be expected.
5. Fees
To be completed once pricing is settledThis section must state: the monthly fee; what the plan includes; when payment is due; what happens on late payment; whether fees can change and with what notice; and refunds. Write what is true, rather than what sounds generous.
6. Availability
We aim to keep RonOS available, and we hold recoverable backups. We do not promise uninterrupted service. Maintenance, updates and provider failures can interrupt it.
7. Acceptable use
You agree not to:
- break the law;
- store information the business has no right to hold;
- attempt to reach another business's data;
- attack or overload the service; or
- resell it without agreement.
8. Our intellectual property; your data
The software is ours. The business's data is the business's. Using RonOS gives us no ownership of it, and we use it only to provide and secure the service.
9. Ending the agreement
- A business may stop using RonOS at any time.
- We may end an account for serious or repeated breach, or for non-payment, with notice where reasonably possible.
- On closure the business may export its data. It is then retained for twelve months from last use and deleted, with warning beforehand, as described in the Privacy Policy.
10. Changes to these terms
We may update these terms. Material changes will be notified rather than made silently, with reasonable notice.
